Dear Sir / Madam,

Provision of Prizes for Very x BBC Bluey Alton Towers Free Prize Draw.

This letter agreement (the “**Agreement**”) sets out the terms between The BBC Studios Distribution Limited (the “**BBC**”) and the Promoter concerning the BBC’s supply of 2 x Alton Towers Park Day pass tickets for up to family of 4 comprising of two (2) adults and two (2) children (total four (4) persons), 1 x Overnight stay at the CBeebies Land Hotel (Bugbie room) and 1 x Round of Extraordinary Golf as specified in the Schedule 1 (the “**Prize**”) to the Promoter in support of its Very x BBC Bluey Alton Towers Free Prize Draw (the “**Promotion**”).

This Agreement shall commence on the date of the last signature and shall remain in force until all obligations relating to the Prize have been fulfilled, unless terminated earlier in accordance with Clause 4.3 (the "**Term**")

**1.     Prize Provision**

1.1.  The Promoter intends to run a promotion between 12:00am on Wednesday 5th  August 2026 until 11:59pm on Wednesday 12th  August 2026 for which the BBC has agreed at its cost to provide the following Prize specified in Schedule 1 excluding the LEGO Bluey Bundle, which the Promoter will provide in return for the marketing activity agreed by the parties in writing.

1.2.  Subject to the Promoter in its sole discretion deciding to run the Promotion, the BBC shall provide the Prize (*subject to the conditions and exclusions set out in this Agreement*) to the Promoter and shall:

1.2.1.        make all necessary arrangements for the winner (as confirmed by the Promoter or the Promoter’s authorised third party) to receive the Prize directly after the Promoter confirms the name and address details of the winner to the BBC; and

1.2.2.        provide the Promoter with all reasonable assistance in the event that any issue arises in relation to the provision of the Prize.

1.3.  Any reference made to the brand of the Prize and/or to the BBC shall be subject to the provisions of all applicable laws and regulations including without limitation the Ofcom Broadcasting Code and shall be made at the Promoter’s sole discretion.

**2.       Data Protection**

The Parties acknowledge that they act as independent data controllers with respect to the personal data of the winner and the winner’s guests that the Promoter will share with the BBC for the purpose of fulfilling the prize pursuant to Clause 1.2.1. and they represent and warrant to carry out the respective data processing activities in compliance with the data protection law. In this respect, the Promoter further represents and warrants to duly inform the Promotion’s participants - via its privacy policy or other notice made available to participants - that, in case of them winning, their personal data will be shared with the BBC for the purpose of fulfilling the prize.

The Promoter shall not share participants’ personal data with the BBC for any other purposes, unless agreed otherwise in writing between the Parties.

**3.     General**

3.1.  If the BBC is not able to supply the Prize due to unavoidable and extraordinary circumstances, it may postpone or substitute the Prize with a prize of the same or greater value.

3.2.  Save to the extent required by law, the parties agree not to make any use of or otherwise exploit any confidential information of the other party received in connection with this Agreement and not to disclose any such confidential information.  For the avoidance of doubt, the terms of this Agreement and all discussions up to the date of the signing of this Agreement will be confidential for these purposes.

3.3.   This Agreement contains the entire agreement and understanding of the parties and supersedes all prior agreements, understandings or arrangements (both oral and written) relating to the subject matter of this Agreement.

3.4.  Subject to paragraph 3.7 below, each of the parties acknowledges and agrees that:

3.4.1.    it does not enter into this Agreement on the basis of and does not rely, and has not relied, upon any statement, representation, warranty, forecast or other information (in any case whether oral, written, express or implied) made, given or agreed to by any person (whether negligently or innocently and whether or not made by a party to this Agreement) which is not expressly contained or referred to in this Agreement (”Representation”);

3.4.2.    it shall have no remedy (including any rights to damages or rescission in an action for misrepresentation) for any Representation which was, is, or becomes false or misleading; and

3.4.3.   the only remedy available in respect of any misleading or false warranty or other term contained in this Agreement shall be a claim for breach of contract under this Agreement.

3.5.  Nothing in this Agreement shall exclude or restrict a party’s rights, remedies or liability under the law governing this Agreement in respect of any fraud.

3.6.  No variation, supplement, deletion or replacement of or from this Agreement or any of its terms shall be effective unless made in writing and signed by or on behalf of each party with the intention to vary, supplement, delete or replace being clearly expressed.

3.7.  The relationship between the parties is that of independent contractors.

3.8.    Neither party may assign or sub-contract any of its rights or obligations under this Agreement without the prior written consent of the other party, except, upon giving notice to the other party, to assign or otherwise transfer this Agreement to any other company within the group of companies of which each party is a member.

3.9.  No person other than a party to this Agreement may enforce this Agreement by virtue of the Contracts (Rights of Third Parties) Act 1999.

3.10. This Agreement shall be governed by and construed in accordance with English law and the parties hereby irrevocably submit to the exclusive jurisdiction of the English Courts.

3.11. This Agreement may be executed in any number of counterparts (each of which taken together will be deemed to constitute one and the same agreement and each of which individually will be deemed to be an original) with the same effect as if the signatures on each counterpart were the same original document.

**SCHEDULE 1**

**Prize Details (the “Prize”)**

The BBC Studios Distribution Limited (the “**BBC**”) will provide the Promoter for the promotion Very x Bluey Prize Draw  (the “**Promotion**”) with two (2) Alton Towers Park Day tickets for up to a family of 4, one (1) Overnight stay at the at the CBeebies Land Hotel (Bugbie room) and one (1) Round of Extraordinary Golf for one (1) winner of the competition (the “**Recipient**”) and three (3) accompanying guests, comprising of two (2) adults and two (2) children (four (4) persons in total)

The Prize includes:

• One (1) night's accommodation in a standard Bugbie Room for the Recipient and up to three (3) accompanying guests, as selected by Alton Towers in its sole discretion and subject to availability.

• Two (2) Alton Towers Theme Park Day pass tickets valid for admission for the Recipient and up to three (3) accompanying guests (four (4) guests in total). The tickets must be booked for use on consecutive days.

• One (1) round of Extraordinary Golf for the Recipient and up to three (3) accompanying guests (four (4) participants in total).

Terms and Conditions:

Very x Bluey – Prize Draw Rules[\[TM1\]](#_msocom_1) 

1.         Entry into the prize draw will be deemed as acceptance of these rules and any separate instructions for entry will form part of the rules. 

2.         You can enter this prize draw via the Very app from 12:00am on Wednesday 5th August 2026 until 11:59pm on Wednesday 12th August 2026. To enter, tap ‘Enter Now’ in the Exclusive Offers section of the Very app.

3.         This prize draw is open to any UK resident aged 18 or over. Only one entry per person is permitted. Any duplicate entries will be deemed invalid. [\[TM2\]](#_msocom_2) [\[JP3\]](#_msocom_3) 

4.         Employees of the Promoter or any of its group companies and anyone else involved in the operation of the prize draw are excluded from entering.

1. Together points 1, 2 and 3 above shall be known as “**Prize Part A**”

Prize Part A and Prize Part B together the “**Prize**”

6.         Prize Part A must be booked and  be taken within one (1) year [\[TM13\]](#_msocom_13) of the winner being chosen and contacted by the Promoter. [\[TM14\]](#_msocom_14) [\[JP15\]](#_msocom_15) [\[CS16\]](#_msocom_16) [\[CS17\]](#_msocom_17) The winner and all of their guests must book and use Prize Part A at the same time. Any children in the group must be accompanied by their parent/legal guardian aged 18 or over.

7.         Age and height restrictions may apply to some attractions at Alton Towers Theme Park. Parks, attractions and/or entertainment may change operating hours or be closed due to refurbishing, capacity, weather or special events and may otherwise change or be discontinued without any notice and without liability to the Promoter or the Alton Towers Prize Provider.

8.         Travel, transfers, meals, spending money, insurance and all other personal expenses in relation to Prize Part A are excluded and are the sole responsibility of the winner and their guests.

9.         The Prize is non-transferable, non-exchangeable and no cash alternative is available.

10.       If the winner elects to partake in any or all portions of Prize Part A with fewer than three (3) guests, Prize Part A will be awarded to the winner and any participating guest, and any remainder of Prize Part A will be forfeited and shall not be subject to further or alternative compensation.

11.       The Promoter,  the Alton Towers Prize Provider and LEGO® Bluey Bundle Prize Provider reserve the right to offer an alternative prize in the event of any aspect of the original Prize being unavailable. The Prize is non-negotiable, non-transferable and there is no cash alternative.   

12.       The winner [\[TM18\]](#_msocom_18) will be chosen on or around 13th August 2026 by random selection[\[TM19\]](#_msocom_19) [\[JP20\]](#_msocom_20)  from all valid entries received during the entry period. The winner will be sent a notification by email within 1 day of the random selection. Once the winner has acknowledged the Promoter's notification and confirmed acceptance of the Prize, the Promoter will provide the winner's contact details to the Alton Towers Prize Provider for the purpose of fulfilling Prize A. Following receipt of those details, the Alton Towers Prize Provider will contact the winner within seven (7) days with instructions on how to redeem Prize A. The Promoter will arrange for Prize B to be dispatched to the winner within thirty (30) days of the winner's acceptance of the Prize.  

13.       In the event that the winner does not respond to the notification [\[TM21\]](#_msocom_21) [\[JP22\]](#_msocom_22) [\[CS23\]](#_msocom_23) [\[JP24\]](#_msocom_24) that they have won within five (5) days [\[TM25\]](#_msocom_25) [\[JP26\]](#_msocom_26) of the notification via email, they will lose the right to the Prize, and the Promoter may select another winner by random selection from the remaining entries.

14.       Entrants who have an account with the Promoter or any of its group companies that is in arrears at the time of the draw will not be eligible to win the prize.  [\[TM27\]](#_msocom_27) [\[JP28\]](#_msocom_28) 

15.       This prize draw is facilitated through cookies and this data will be used solely for the purpose of administering the draw. 16.       By entering the prize draw, entrants agree that, if they win, their details may be disclosed to anyone requesting details of the prize winner.

17.       To the extent that is permitted by law,[\[TM29\]](#_msocom_29)  the Promoter its parent, related, affiliated, and subsidiary companies and their respective officers, directors agents, employees and assigns shall be released and discharged from any and all legal claims, losses, injuries, demands, damages, actions, and/or causes of actions that arise out of and/or in any way related to the prize, the receipt, use and/or enjoyment of the prize and/or the promotion.

18. The Alton Towers Prize Provider excludes liability to the full extent permitted by law for any loss, damage or injury occurring to the winner (and/or their guests) arising from their acceptance of any aspect of Prize Part A. 

18.       Anyone wishing to obtain the winner's details may do so by sending a stamped addressed envelope to: Very x Bluey, Marketing Department, First Floor, Skyways House, Speke Road, Speke, Liverpool, L70 1AB.

19.       These Prize Draw Terms and Conditions are governed by the laws of England and Wales. If you are resident in Scotland or Northern Ireland, you may also bring proceedings in your local courts.
